DIGIFII

1. General

These are the main terms and conditions of business for the digital marketing agency Digifii which is based at the website www.digifii.co and is owned and operated by VISMAR VENTURES FZ-LLC with registered offices at SMBA0096 Compass Building, Al Shohada Road, AL Hamra Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates.
These terms and conditions must be accepted by all clients indenting to make use of any of the digital marketing services offered on www.digifii.co.
Please make sure you read this document carefully, and if you do not agree with any of the following business terms then you may not use these products or services.

2. Accounts

All clients shall be required to register for an account on www.digifii.co before being able to use any of the products or services.
The account will include information such as a record of all payments and invoices as well as tracking the progress of any active marketing campaigns.

3. Costs

The client shall be sent a quote for the digital marketing service or services which they have requested. They then have 30 days to accept this quote.
Upon agreement of the quote, the client shall pay www.digifii.co the full sum in advance of any digital marketing services being carried out.
The contract between www.digifii.co and the client becomes effective as soon as the client has accepted the quote.

4. Copyright

Where digital marketing services have included any digital works including artwork or design, the parties shall agree that the copyright and design rights for all such works shall remain with Digifii.
Where any such materials have been provided to the client the parties shall agree that these materials are only to be used in the way which has been outlined by www.digifii.co and they are not intended for further distribution.
As soon as www.digifii.co has received the payment in full for the services, then the client is granted a non-exclusive right to use these works for the purposes which have been outlined by the agency.

5. Liability

The agency at www.digifii.co shall not be liable for any claim or claims which are direct or indirect consequential or incidental injury, loss or damage made by the client against the agency or which arise out of connection with these services or the materials or any act, omission, neglect or default of the agency, its servants or agents in the performance of the contract.
The agency www.digifii.co makes no representations as to the benefit of the client arising out of the provision of digital marketing services and there is neither express nor shall there be implied into the contract between the parties of any conditions or warranties as to the same.

6. Client obligations

The client agrees to give clear and precise instructions to the agency ahead of any work commencing.
To pay all invoices in full and in advance.
To agree to these terms and conditions in full.

7. Delivery and payment

The delivery of the work and timescales shall be specified at the time of agreeing the quote, where the final price will depend on the duration of the agreement of services.
When delivering projects on a deadline – such as a website – the agency www.digifii.co shall not be responsible or liable for any delays which have been caused by negligence on the client’s behalf.
If a timeline has been agreed between the parties, then www.digifii.co shall only be expected to comply with these timelines when the client has promptly provided all materials which have been requested of them.
All payments are to be made in full and in advance and are the be processed by a secured third-party payment provider.
Visa and Mastercard are both accepted forms of payment and when a payment has been processed DFVV, UAE shall appear on the client’s bank statement as the billing descriptor.

8. Proofs

For some projects proofs of the work may be sent to the client for approval before the end of the project.
In this instance the agency www.digifii.co shall incur no liability for any errors which have not been corrected by the client in these proofs.
Any alternations requested by the client which are minor and do not incur extra time shall be included as part of the original quote and at no extra cost.
Any other changes which are requested by the client which will incur extra work which has not previously been agreed between the two parties, then the client shall be liable for these extra costs.

9. Cancellations

The contract between the parties may be cancelled at any time and by either party by providing written notice in writing.
For retained work which is being carried out, the client is still liable for the full costs of these works even if they cancel before the end of the retainer.
A client may cancel their account on www.digifii.co at any time by deleting it.

10. Disputes and refunds

The client shall have no right to seek any compensation or cancellation costs from www.digifii.co on the basis of a dispute arising out of style or composition of the marketing services provided.
The agency www.digifii.co does not issue refunds for works which have already been carried out, but has an active complaints procedure where clients may still request a refund but this will only be issued at the agency’s sole discretion.

11. Intellectual Property Rights

It is the responsibility of the client to ensure that all materials which have been provided to www.digifii.co comply with all relevant laws and regulations in all countries where the materials are used.
The client agrees that it shall indemnify the agency www.digifii.co against any costs arising out of the use or misuse of materials.
Any third party materials, such as imagery, could be subject to usage liabilities such as royalties and license fees, in which case it shall be the responsibility of the agency to procure the necessary license fees for any third party materials.
Unless it has otherwise been previously agreed between the parties, the agency www.digifii.co reserves the right to use any of the materials which it has produced for the client in its own marketing materials.
